This agreement (Consignment Agreement) is between CharityACE, LLC and the client (the Nonprofit or representative of) for using CharityACE consignment packages in your fundraising event.
CHARITYACE GUARANTEE
CharityACE packages are offered on a no-risk basis, meaning the Nonprofit will only commit to purchasing the selected package once it is sold at the event. If a package does not sell at the event, the Nonprofit is not required to purchase it. Once a package has been sold, your organization will only be responsible for the listed price of the package as communicated by your fundraising expert prior to, and as listed in, this agreement being delivered and executed.
SERVICE YOU DESERVE
The purchase of a CharityACE package includes complimentary concierge service, allowing the winning bidder to work directly with our exclusive providers to reserve each of the components of the purchased experience and receive guidance and assistance with setting up any additional trip activities and services to ensure a seamless experience.
UNFORESEEN EVENTS
If CharityACE is unable to fulfill such party’s obligations hereunder due to any event of force majeure, including, without limitation, any Act of God, terrorist act, war, health pandemic or epidemic, government regulation or order, labor disputes and disturbances, or any other cause beyond such party’s control, CharityACE shall use commercially reasonable efforts to remedy the situation to the extent possible.
PAYMENT
Payment will be made only in U.S. dollars and is due, in full, upon receipt. CharityACE accepts ACH, wires, checks, and credit cards as a method of payment. Credit cards are assessed a 3% processing fee. Please email accounting@charityace.com to request an updated invoice for credit card payment. Experience prices, inclusions, and booking conditions are subject to change if not paid for within 15 days of the event date.
Upon receipt of the post-event invoice, packages are non-returnable and non-refundable. If the donor chooses not to take the trip or receive the item and wishes to donate it back to the Non-Profit, the package becomes the property of the Non-Profit for use within the original terms of the package and at the discretion of the experience provider. It cannot be used for future credit with CharityACE.

ADDITIONAL TERMS AND CONDITIONS:
Nonprofit’s Obligations.
Nonprofit agrees:
- To provide the name, telephone number, and email address of each winning bidder upon confirmation and payment of a package sale.
- Not to edit or change any description of the consignment package or experience as supplied in the various documents provided by CharityACE
- Hereby represents and warrants that the experience description has not been altered from that provided by CharityACE.
- CharityACE assumes no responsibility for any changes or errors made by the NonProfit in marketing the packages.
- If a package is sold more than one time, the non-profit pays for each package sold.
Compliance With Law. The third-party providers of products and services are solely responsible for ensuring that the products and services are in compliance with all federal, state, and local laws and CharityACE is not liable in any way for noncompliance with applicable laws by the provider. CharityACE will assist winning bidders in notifying the third-party provider but is not liable for compliance with the Americans with Disabilities Act or other state or local laws regarding public accommodation or ticket sales.
Disclaimer of Representations and Warranties. Nonprofit agrees and acknowledges that (other than as specifically set forth above) CharityACE makes no representations or warranties regarding the experience or components thereof. CharityACE’s sole obligation under this Agreement is to deliver the purchased package as described herein.
Indemnification. Nonprofit agrees to hold harmless, indemnify and defend CharityACE against any claims made by any third-party bidders, purchasers, travelers, vendors, or others for damages or other claims related to the experiences or the terms and conditions applicable thereto.

Limitation of Liability. CharityACE’s liability under this agreement shall be limited to confirmed delivery of the certificate and CharityACE shall not be liable for any consequential, special, or punitive damages. CharityACE’s total aggregate liability for any claim under this Agreement shall not exceed the amount paid or owed by the winning bidder for the experience to which the claim relates. CharityACE is not responsible for any claims, damages, injury, or death during the fundraising event, travel, or execution of the experience CharityACE is providing to charity.
Email Communications. Nonprofit acknowledges that CharityACE may from time to time send emails to Nonprofit containing such items as company newsletters, new package introductions, product promotions, and other marketing-related documents and tools. To opt out of future mailings, please use the “opt-out” feature provided at the bottom of any such mailing, and the email address will be removed from our database.
Winning Bidder Communications. Nonprofit acknowledges that CharityACE and/or its partners will send emails to winning bidders containing information on how to proceed with their booking.
